Incorporation, Organization and Qualification of a Corporation
Mr. Debick drafts employment contracts, independent contractor agreements, confidentiality and non-competition issues and separation agreements. Mr. Debick's goal is to help companies comply with legal requirements and properly address issues as they first develop, in order to avoid claims, minimize exposure to legal liability and expenses, and protect their own rights in the event of any future dispute.
Mr. Debick routinely advises clients on how to protect their intellectual property from infringement in the marketplace. Such advice typically consists of creating non-disclosure agreements and the filing of trademark applications with state agencies and the United States Patent and Trademark Office.
Mr. Debick's primary legal specialty relates to advising clients on merger and acquisitions. That is, before moving forward with a client, Mr. Debick works with the client so that the client understand the costs and benefits of deciding to sell or acquire a company.
Once a decision has been made and the client decides that a sale, purchase, or, merger is in best interest of the business, Mr. Debick provides expert advice regarding the best structure to accomplish the transaction.
